These Terms of Service ("Terms") are a legal agreement between you ("Client" or "you") and OvationAI governing your use of the OvationAI reputation management service. By subscribing to or using OvationAI, you agree to these Terms.
OvationAI is a B2B software-as-a-service (SaaS) platform that uses artificial intelligence to monitor and respond to Google Business Profile reviews on behalf of small business clients. Specifically, the service includes:
The exact features available depend on your subscription tier (Starter, Growth, or Pro).
OvationAI is billed on a month-to-month basis. Your subscription renews automatically each month on your billing anniversary until you cancel.
A one-time setup fee covers the labor required to configure your GHL sub-account, connect your Google Business Profile, build your AI review agents, and configure SMS automation. The setup fee is non-refundable once setup work has begun.
You may cancel your monthly subscription at any time by emailing hello@getovationai.com or through your client portal. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial months.
We reserve the right to adjust subscription pricing with at least 30 days' notice via email. Continued use after a price change constitutes acceptance of the new pricing.
All new clients begin in Suggestive mode. AI-generated responses are drafted but not posted automatically — you review and approve each one before it goes live. After a minimum of two (2) weeks and at least 20–30 approved responses, you may request to switch to Auto mode, where responses are posted automatically.
During the Suggestive period, you are responsible for reviewing each AI-generated response before approving it for posting.
By requesting Auto mode, you authorize OvationAI to post responses to your Google Business Profile on your behalf without further individual review.
You may return to Suggestive mode at any time by contacting hello@getovationai.com.
AI can produce unexpected, inaccurate, or off-brand content. While we configure your AI agents carefully, we cannot guarantee that every AI-generated response will be perfect.
All AI-generated responses are posted under your business name and Google Business Profile. You, the Client, are solely responsible for all review responses posted to your Google Business Profile, whether drafted by AI or human. OvationAI is not liable for the content of any posted response.
Once a response is posted — whether through your approval in Suggestive mode or automatically in Auto mode — OvationAI bears no liability for that content, including claims of defamation, inaccuracy, consumer harm, or reputational damage.
You agree to indemnify and hold harmless OvationAI and its owners, employees, and agents from any claims, damages, or expenses arising from AI-generated responses posted to your Google Business Profile.
You represent that you have full authority to authorize third-party access to your Google Business Profile.
If your plan includes SMS, you agree to cooperate with the A2P 10DLC registration process and provide accurate business information.
You are required to have a Privacy Policy and Terms of Service posted on your business website. These must remain live and accessible throughout your subscription for SMS regulatory compliance.
You agree not to use OvationAI to post false or misleading content, harass reviewers, or violate Google's review policies or any applicable law.
Your business and customer data are stored within your dedicated GoHighLevel sub-account. OvationAI's Privacy Policy governs how we handle your data.
After cancellation, your GHL sub-account and data will be retained for 30 days, then deleted. Request a data export before cancellation or within 30 days by emailing hello@getovationai.com.
We do not sell your business data or your customers' data.
OvationAI is provided "as is" and "as available." We make no warranty that the service will be uninterrupted, error-free, or produce specific results such as a guaranteed increase in star rating or revenue.
OvationAI's total liability for any claim shall not exceed the amount you paid in the three (3) months preceding the claim. OvationAI is not liable for indirect, incidental, or consequential damages, including loss of revenue or reputational harm.
Either party may terminate this agreement. We reserve the right to terminate immediately — without refund — for violations of these Terms, abusive conduct, or fraudulent activity. Upon termination, your sub-account access is deactivated and data retained for 30 days.
These Terms are governed by the laws of the State of North Carolina. Disputes shall be resolved in the courts of North Carolina.
We may update these Terms with at least 14 days' email notice before material changes take effect. Continued use constitutes acceptance.
